Terms of Service
These Terms of Service ("Terms") govern your access to and use of the EquationDB website, applications, APIs, MCP server, agent skill and related services (together, the "Service"). By creating an account, signing an order form, or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent ("Customer", "you"). If you do not agree, do not use the Service.
1. The Service
EquationDB provides a market database, query language, analytics, alerts, AI-assisted features and programmatic access to market and reference data. We may improve, change or discontinue features from time to time; we will give reasonable notice of changes that materially reduce the Service you have paid for.
2. Accounts and security
- Accounts are for named individuals and may not be shared. You are responsible for all activity under your account and API keys.
- Keep credentials and API keys confidential, enable two-factor authentication where available, and notify us promptly of any unauthorized use.
- You must provide accurate registration information and be authorized to bind your organization.
3. Trials, plans and fees
- Trials are provided free of charge for the period we specify, as-is, and may be ended at any time.
- Paid plans, usage limits, fees and billing terms are set out in your order form or plan description. Fees are exclusive of taxes and are non-refundable except where required by law or stated in your order form.
- We may suspend access for non-payment after reasonable notice.
4. Acceptable use
You will not, and will not allow others to:
- redistribute, resell, sublicense or publicly display data obtained from the Service, or use it to build a competing data product, except as permitted in your order form;
- scrape, bulk-download or systematically extract data beyond your plan's limits, or circumvent rate limits, entitlements or security measures;
- reverse engineer, decompile or attempt to derive source code, except to the extent the law expressly permits;
- use the Service to break the law, including securities, market-abuse, export-control and sanctions laws, or to infringe anyone's rights;
- upload malware, probe or attack the Service, or interfere with other customers' use of it.
5. Market data and third-party content
Market, fundamental and reference data are obtained from third-party sources and may be delayed, incomplete, revised or inaccurate. Data is provided for your internal use only. Third-party data providers may impose additional terms, which apply to your use of their data.
6. No investment advice
The Service is research software. Nothing in the Service — including statistics, backtests, event outcomes, alerts, paper-trading results or AI-generated text — is investment, legal, tax or accounting advice, or a recommendation to buy or sell any security. Past performance and historical outcomes do not guarantee future results. You are solely responsible for your investment decisions.
7. AI features
Some features use machine-learning models, including third-party large language models, to write queries, summarize results or answer questions. AI output can be incomplete or wrong; review it before relying on it. When you use AI features, the relevant query text and result rows are sent to the model provider to produce the answer, as described in our Privacy Policy.
8. Your content
You keep all rights to the queries, notes, uploaded data, saved objects and other content you submit ("Customer Content"). You grant us a limited licence to host, process and display Customer Content solely to provide and support the Service. We do not use Customer Content to train general-purpose AI models.
9. Our intellectual property
The Service, including its software, query language, documentation, designs and derived analytics, is owned by EquationDB and its licensors and is protected by intellectual-property laws. Except for the rights expressly granted in these Terms, no rights are transferred to you. If you send us feedback, we may use it without obligation to you.
10. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Service with at least reasonable care and use it only to perform under these Terms.
11. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, if required by law, or to protect the Service or other customers. On termination your right to use the Service ends; on request made within 30 days we will make your Customer Content available for export, after which we may delete it.
12. Disclaimers
To the fullest extent permitted by law, the Service and all data are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, timeliness and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
13. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, trading losses, revenue or data, even if advised of the possibility. Each party's total liability arising out of these Terms is limited to the fees paid or payable by Customer for the Service in the twelve months before the claim arose. These limits do not apply to Customer's payment obligations, breaches of Section 4, or liability that cannot be limited by law.
14. Indemnity
You will defend and indemnify EquationDB against third-party claims arising from your Customer Content, your breach of Section 4, or your trading and investment decisions.
15. Changes to these Terms
We may update these Terms. If a change is material we will notify account owners by email or in the app at least 30 days before it takes effect, unless the change is required by law. Continued use after that date means you accept the updated Terms.
16. General
These Terms, together with any order form, are the entire agreement between the parties about the Service; if they conflict, the order form prevails. These Terms are governed by the law and courts specified in your order form or, if none, those of the jurisdiction in which EquationDB's contracting entity is organized. Neither party may assign these Terms without the other's consent, except in a merger or sale of substantially all assets. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
